Cellebrite's board has authorized the company to pursue a reorganization that would establish a new US corporation as its ultimate parent. The digital investigations company announced the plan on September 14.
The move remains subject to shareholder and regulatory approvals. Cellebrite expects completion in the first half of 2027 and says it will provide further information through US securities filings, including details of a special shareholder meeting.
Chief executive Shiv Ramji said the proposed structure would support growth in the United States, the company's largest geographic market, and broaden its appeal to investors through potential index inclusion. Those are management's expected benefits. The announcement starts a corporate reorganization process; it does not confirm that the change of domicile has taken effect.
